15Five Context Layer Additional Terms of Service

Effective Date: June 9, 2026

To use and access the 15Five Context Layer, Agents and any related features that reference these terms, (defined below; which together with the other items listed in the MSA comprise the “15Five Materials”), you must accept (1) the Master Subscription Agreement ("MSA"), (2) the Generative AI Additional Terms of Service, and (3) these Additional Terms of Service for the Context Layer ("Context Layer Terms").

Please read these documents carefully. Together, these documents, along with any other documents referenced therein or which reference these terms (including but not limited to: the order form, DPA, etc.) as applicable, are known as the “Terms” and/or “Agreement”. They establish what you can expect from Us as You use Our 15Five Materials, and what we expect from you. Capitalized terms not defined herein have the meanings given in the MSA. All other terms of the MSA and Generative AI Additional Terms of Service remain in full force and effect.

Definitions

"15Five Context Layer" or “Context Layer” means 15Five’s proprietary performance intelligence layer that aggregates, processes, and enriches data from sources including 15Five’s platform, and Customer-connected third-party data connectors and integrations, to generate performance intelligence, as updated and expanded by 15Five from time to time, subject to these Context Layer Terms.

"AI Agents” or “Agents" means the AI-powered agents and workflows that read from and operate on the 15Five Context Layer to perform any task or process that can be automated or delegated to a reasoning agent, including but not limited to executing tasks, generating insights, summaries, and recommendations, and automating workflows, as updated and expanded by 15Five from time to time.

Access and Consent

Opt-In Requirement. Access to the 15Five Context Layer, Agents and any of its included features, is optional and requires Customer's affirmative opt-in. Customers who do not opt in may continue using their existing 15Five Materials as subscribed, without interruption.
Affirmative Acceptance. To access the 15Five Context Layer, Agents, and any of its included features, based on availability, the Customer’s HR administrator must affirmatively accept these Context Layer Terms by checking the acknowledgment box presented at the point of access, which states: "I agree to the 15Five Context Layer Additional Terms of Service, which govern access to the Context Layer, Agents, and related features, and include 15Five's right to introduce fees for these features at renewal with reasonable prior notice in accordance with these terms."
Authority. The individual accepting these Context Layer Terms represents that they have authority to bind Customer to these terms.

Current Availability

Depending on the Customer’s level of access, any separately negotiated terms, availability of 15Five Materials, or any other circumstances, the Context Layer, Agents and any of its features including any related integrations, may be provided to Customer at no additional charge beyond Customer's base Subscription Fees. However, notwithstanding anything to the contrary in the Order Form, MSA or otherwise, these Context Layer Terms control and nothing herein or Customer's access to the Context Layer, Agents or any of its features shall be construed as a commitment by 15Five to provide such 15Five Materials at no charge indefinitely. 15Five reserves the right to introduce, modify, or adjust fees for any of the features in the Context Layer and Agents, in accordance with the ‘Price Changes’ section below.

Price Changes

Pricing Notice. 15Five will provide Customer with written notice no less than forty-five (45) days prior to the start of any Renewal Term in which fees for the Context Layer and Agents or any of its included features may first apply ("Pricing Notice").
Fee Structure. Fees for the Context Layer, Agents and any related features may be structured as a flat fee, on a per-user basis, based on usage or volume of workflow executions (i.e., the number of Agent runs initiated by or on behalf of Customer during a given period), or a combination thereof, as specified in the applicable Pricing Notice, Order Form, or 15Five's pricing page.
Acceptance of Fees. Customer's failure to provide timely notice of non-renewal following receipt of a Pricing Notice, in accordance with the applicable MSA, shall constitute Customer's acceptance of the fees described therein for the applicable Renewal Term.

Data and the Context Layer

Third-Party Integrations. For avoidance of doubt, the Context Layer may ingest data from third-party platforms (including productivity, workplace, and messaging applications) as connected by Customer. Customer is responsible for ensuring it has all necessary rights, consents, and permissions to connect such data sources to 15Five.
Data Use. Data processed through the Context Layer will be handled in accordance with the MSA, the Generative AI Additional Terms of Service, and the Data Processing Addendum, as applicable.
